Terms & Conditions

The contractual terms governing access to and use of Inventro.

Important: This document forms part of the Inventro legal framework. Customers should retain a copy for their records.

1. About these Terms

These Terms & Conditions govern access to and use of Inventro, including its websites, hosted software, customer portals, mobile features, integrations and related support services (together, the Service).

Inventro is owned, developed and operated by Vivid Telecom Limited (“Vivid Telecom”, “we”, “us” or “our”). By starting a trial, purchasing a subscription, creating an account or using the Service, the customer agrees to these Terms.

2. Business use

Inventro is supplied primarily for business and organisational use. The person accepting these Terms confirms that they are at least 18 years old and are authorised to bind the relevant organisation. Any mandatory rights that cannot lawfully be excluded remain unaffected.

3. Accounts and authorised users

The customer must provide accurate registration information, keep it current and protect all passwords, verification codes and access credentials. The customer is responsible for its authorised users and for activity performed through its account, except to the extent caused by our breach.

Accounts may not be shared outside the licensed organisation, sold, transferred or used to provide a competing hosted service without our written permission.

4. Trials

A free trial, where offered, is limited to the stated period and normally to one trial per organisation, email address and mobile number. Trial functionality, storage or support may be limited. We may refuse, suspend or end a trial where we reasonably believe it is duplicated, fraudulent, abusive or being used to avoid payment.

Unless upgraded, access may be restricted when the trial ends. Trial data may be deleted after the published retention period, so customers should export any information they need before expiry.

5. Subscriptions, fees and taxes

Paid access is provided under the plan selected at checkout or agreed in writing. Prices are shown in pounds sterling and are exclusive of VAT unless stated otherwise. The customer authorises the chosen payment provider to collect fees when due.

Subscription periods, included features, user limits and storage allowances are shown before purchase. Additional usage, services or implementation work may be charged separately where agreed.

6. Renewals, cancellation and plan changes

Recurring subscriptions renew for the stated billing period until cancelled in accordance with the Subscription Agreement or an applicable order form. A cancellation stops future renewal but does not normally refund a period already started, except where required by law or expressly stated in the Refund Policy.

Upgrades may take effect immediately and may be charged on a pro-rata basis. Downgrades normally take effect at the next renewal and may reduce features, storage or user allowances.

7. Licence

Subject to payment and compliance with these Terms, Vivid Telecom Limited grants the customer a limited, non-exclusive, non-transferable and revocable right for its authorised users to access and use Inventro for the customer’s internal business purposes during the subscription or trial period.

No source code, ownership right or intellectual-property interest is transferred. Licence checks may verify the account, installation, domain, IP address, plan and subscription status.

8. Customer data

The customer retains ownership of data it uploads to Inventro. The customer grants us the rights necessary to host, copy, process, transmit, back up and display that data solely to operate, secure, support and improve the Service and to comply with law.

The customer is responsible for the lawfulness, accuracy and quality of its data and for obtaining any notices, permissions or consents required for personal information it enters into the Service.

9. Acceptable use

The customer and its users must comply with the Acceptable Use Policy. They must not attempt to bypass security or licensing, introduce malware, overload the Service, access another customer’s information, reverse engineer protected components, or use Inventro for unlawful, fraudulent or harmful activity.

10. Availability, maintenance and support

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation unless a separate written service level applies. Planned or emergency maintenance, internet failures, third-party outages and events outside our reasonable control may affect availability.

Support is provided according to the selected plan. Response and restoration times are targets unless expressly described as contractual service levels.

11. Backups and exports

We may provide backup and export features, but the customer remains responsible for maintaining appropriate independent copies of critical business information. Backup availability does not guarantee recovery of every change or item.

12. Third-party services

Inventro may connect to payment, email, SMS, hosting, analytics or other third-party services. Their own terms and privacy practices may apply. We are not responsible for a third party’s systems, content, decisions or availability, although we remain responsible for our own legal obligations.

13. Intellectual property

Inventro, its source code, databases, workflows, designs, documentation, logos, branding, domain names and all related intellectual property are owned by or licensed to Vivid Telecom Limited. Customers may not copy, modify, distribute, resell or create derivative products except where applicable law expressly permits and cannot be excluded.

14. Confidentiality

Each party must protect the other party’s confidential information using reasonable care and use it only for the relationship. This does not apply to information that is public through no breach, already lawfully known, independently developed or required to be disclosed by law.

15. Suspension

We may suspend all or part of the Service where payment is overdue, security is threatened, use is unlawful or materially breaches these Terms, a third-party provider requires suspension, or suspension is reasonably necessary to protect customers or the platform. Where reasonably possible, we will explain the reason and provide an opportunity to remedy it.

16. Termination

Either party may terminate where the other commits a material breach and, where the breach can be remedied, fails to remedy it within a reasonable written period. We may terminate immediately for fraud, deliberate security attacks, unlawful use, insolvency or repeated serious breach.

On termination, the licence ends and access may cease. Data may be made available for export for a limited period before deletion, subject to payment, security and legal retention requirements.

17. Warranties

We will provide the Service with reasonable care and skill. Except as expressly stated, the Service is provided on an “as available” basis. We do not warrant that Inventro will meet every individual requirement, operate without interruption or prevent every possible loss, attack or user error.

18. Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot legally be excluded.

Subject to that, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill or business opportunity. Our total aggregate liability arising in any 12-month period is limited to the fees paid or payable for the Service during that period, unless a separate written agreement states otherwise.

The customer should take reasonable steps to mitigate loss, maintain suitable backups and verify important operational decisions.

19. Indemnity

The customer will reimburse us for reasonable losses, claims and costs arising from unlawful customer data, infringement caused by material supplied by the customer, or the customer’s deliberate misuse of the Service, provided we give reasonable notice and control of the defence where appropriate.

20. Changes to the Service or Terms

We may improve, replace or discontinue features. We may update these Terms to reflect legal, security, operational or commercial changes. Material changes will be notified through the Service, by email or by another reasonable method. Continued use after the effective date constitutes acceptance where permitted by law.

21. Notices

Notices may be delivered through the portal, to the account email address or to another contact supplied by the customer. The customer must keep contact details current.

22. General

The customer may not assign the agreement without our written consent. We may assign it as part of a restructuring, sale or transfer of the Inventro business. If a provision is unenforceable, the remaining provisions continue. Delay in enforcing a right is not a waiver. These Terms, the selected plan, the Subscription Agreement, the Data Processing Agreement and any written order form constitute the agreement for the Service.

23. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory law provides otherwise.
